Terms and Conditions
The terms governing your use of Sellerbridge — accounts, permissions, acceptable use, fees, liability and termination.
These terms govern the Sellerbridge service. They do not yet name the contracting company or carry an effective date, and until they do they are published for information only.
These terms govern your use of the Sellerbridge website and application. By creating an account or using the service you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind it, and "you" means that company.
The service
Sellerbridge reads data from the Amazon selling accounts you connect and produces decisions, recommendations and reports from it. Features change as we develop the product; we will not materially reduce the core functionality of a plan you are paying for without telling you.
Sellerbridge is not affiliated with, endorsed by or sponsored by Amazon.com, Inc. Amazon controls its own APIs and policies, and may change or withdraw access at any time. Where that affects the service, we will tell you, but we are not liable for Amazon's decisions.
Your account
You are responsible for the accuracy of the information you give us, for keeping your credentials secure, and for everything done under your account. Tell us immediately if you believe your account has been accessed without your authorisation. You must be at least 18 and must not be barred from using the service under applicable law or sanctions.
Connecting an Amazon account
You confirm that you own or are authorised to connect each Amazon account you link, and that doing so does not breach your agreements with Amazon or with any client. If you connect a client's account, you confirm you have their written authority. You are responsible for the permissions you grant.
Permissions and automated action
The service has three modes, which you control per account, per agent and per spend threshold. In Watch mode we change nothing. In Recommend mode we stage decisions for you to approve. In Act mode we execute changes within the caps you set. Recommend is the default on a new account; Act must be switched on deliberately.
Where you enable Act mode, you authorise us to make the changes it covers, and you remain responsible for their commercial consequences. Every action is logged and, where the underlying Amazon API allows it, reversible. You are responsible for reviewing your caps and thresholds and for keeping them appropriate to your business.
Acceptable use
You must not: use the service to breach Amazon's policies or any law; attempt to access another customer's data; reverse-engineer, scrape or resell the service or its outputs except as your plan permits; circumvent rate limits or usage caps; upload malicious code; or use the service to manipulate reviews, rankings or buyer behaviour in ways Amazon prohibits. We may suspend an account that does any of these.
Fees
Fees, the billing period and the plan limits are those shown when you subscribe. Unless stated otherwise, fees are exclusive of VAT and other taxes, which you pay in addition. Subscriptions renew automatically for successive periods until cancelled. We may change prices for a renewal period by giving you at least 30 days' notice; if you do not accept the change, you may cancel before it takes effect. Fees already paid are non-refundable except where the law requires otherwise.
Intellectual property
We own the service, including its software, interface, design and documentation. You get a non-exclusive, non-transferable right to use it for your own business during your subscription. You own your data, including the Amazon account data we read on your behalf and the reports generated from it. You grant us the licence needed to process that data to provide the service, and to use anonymised, aggregated statistics that cannot identify you or your accounts to operate and improve it.
Decisions are advisory
The service produces analysis, recommendations and — in Act mode — changes. It is a tool, not a substitute for your own commercial judgement, and its outputs may be incomplete or wrong. We do not warrant any particular financial result, sales figure, advertising performance or reimbursement recovery. You are responsible for the decisions you take and for reviewing anything the service does on your behalf.
Availability
We aim to keep the service available but do not guarantee uninterrupted access. We may carry out maintenance, and we depend on third parties including Amazon and our hosting providers. Where your plan includes a service level commitment, that commitment and its remedies are set out in your order.
Limits on our liability
Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. Subject to that, we are not liable for loss of profit, revenue, business, goodwill, anticipated savings, or for indirect or consequential loss; and our total liability arising out of or in connection with these terms is limited to the fees you paid us in the 12 months before the claim arose.
The service is provided on an "as is" and "as available" basis. To the extent permitted by law we exclude all warranties, conditions and terms implied by statute or common law.
Indemnity
You will indemnify us against claims, losses and reasonable costs arising from your breach of these terms, your use of the service in breach of Amazon's policies or applicable law, or a claim that you lacked authority to connect an account you connected.
Confidentiality and data
Each of us will keep the other's confidential information confidential and use it only for the purposes of these terms. Our handling of personal data is described in the Privacy Policy, which forms part of these terms. Where we process personal data on your behalf, our data processing terms apply.
Suspension and termination
You may cancel at any time, effective at the end of your current billing period. We may suspend or terminate your account on notice if you breach these terms, fail to pay, or use the service in a way that creates legal or security risk for us or for another customer. On termination your right to use the service ends; you can export your data for 30 days, after which we delete it in line with the retention periods in the Privacy Policy.
Changes to these terms
We may change these terms. For material changes we will give account holders at least 30 days' notice by email and update the effective date. Continuing to use the service after a change takes effect means you accept it.
General
These terms, together with the Privacy Policy and your order, are the whole agreement between us on this subject. If a provision is unenforceable, the rest stands. A delay in enforcing a right is not a waiver of it. You may not assign these terms without our consent; we may assign them to a group company or to a buyer of the business. There are no third-party beneficiaries.
